CONSTITUTION
AND BY-LAWS
ANTELOPE
VALLEY CORVETTE CLUB
Section
1: Name
The name of the Club
shall be the ANTELOPE VALLEY CORVETTE CLUB, INC.
Section 2: Purpose
The
purpose of the Club shall be to encourage and promote Corvette related events,
social activities and local community activities for the members and their
families, and to plan and participate in events with other clubs.
Section 1: Membership
Initial
membership in the club shall be restricted to Corvette owners and their
family. Members in good-standings shall
be allowed to remain members even if they no longer own a Corvette. The three membership categories are
individual, couple, and family associate.
Applicants for individual/couple membership must be at least 18 years of
age, own a Corvette and participate in at least six (6) club events or meetings
and attend one (1) club meeting within six (6) consecutive months. At the completion of the above requirements,
new prospective will be voted on by members present at the meeting. A two-thirds majority of voting members
present is necessary for membership.
Associate
membership applicants must be the child (age 16-21) of any individual or couple
who are current members of the AVCC.
Associate members shall be entitled to all rights and privileges except
the right to hold office.
Any member whose
membership lapses for a period of one year or more, will be assessed a $10.00
reinstatement fee in addition to the annual dues.
Section 2: Dues
Annual dues shall be: Individual - $36.00, Couple - $60.00, Associate - $24. If dues are not paid by March 31st, a $10.00 per member late fee will be assessed.
The dues year shall begin on April 1st and end on March 31st of the following year. New members that join during the dues year shall pay a monthly-prorated fee based on the full price ($36, $60, $24).
An initiation fee of $10.00 per member ($15.00 per couple; $20.00 per family) shall be due upon acceptance as a new member. When the initiation fee is paid, the new member will receive a packet that will include, but not be limited to the following (we can add other items as available).
A. One copy of the current By-Laws.
B. One application for joining Club Affiliate Organization.
C. Instructions on how and where to purchase club jackets and
apparels.
D. List of Club members and phone numbers. (For member use
only)
E. One (1) AVCC rear window decal.
Section
3: Privileges
Active members are
entitled to all Club privileges.
Section
4: Expulsion
A. Membership
will automatically lapse for non-payment of dues after two (2) months. Club Treasurer will notify subject member
after one (1) month. This will give the
member the opportunity to bring the dues current.
B. Any member
involved in a fight at any Club function will automatically be suspended until
the next regular scheduled meeting of the Club. The subject member shall be in attendance at the next regular
scheduled meeting of the Club to defend their actions to the Club general membership. The membership will vote at this time on an
appropriate course of action, which may include expulsion.
C. Any Club
member whose actions cause embarrassment to the Club will be told to be
prepared to defend their action at the next regularly scheduled meeting.
Section
5: Membership in Affiliated Organization
All members of the
Antelope Valley Corvette Club shall also maintain membership in the Affiliated
Organization, currently National Council of Corvette Clubs, Inc. (NCCC).
Section
1: Meetings
General membership
meetings shall be held the first and third Wednesday of each month.
Section
2: Special Meetings
A. A dinner meeting shall be held at least
every two (2) months.
B. Meetings on
nights other than Wednesday night shall be approved by the general membership.
C. Constitution
and By-law Review meetings shall be held at least once annually. Meeting(s) shall be chaired by the Vice
President and attended by the current by-law committee.
Section 1: Number of Officers
The elected officers of the Club shall be President, Vice President, Treasurer, and Club Administrator. Additional elected positions may include: Club Representative to Affiliate Organization (NCCC Governor), Editor, Technical Editor, Historian, Sergeant at Arms, Membership Chairperson, Sunshine Chairperson and Parade/Homecoming Coordinator.

2: Terms
of Officers
The officers of the
Club shall each serve for twelve (12) months: January through December.
Section
3: Election
of Officers
A. Election
shall be held on the last regular meeting in November.
B. Nominations
for the elections shall be held at least one (1) month prior to the elections.
C. Election of
officers shall be by majority vote of the general membership present at the
regular meeting in November.
D. Absentee
ballots will be accepted by any Club Officer, in a sealed envelope, prior to
the elections.
Section 1: Duties
of the President
The President shall preside at all meetings. The President will help coordinate activities with the Activities Chairperson, with other clubs and shall perform the duties pertaining to the office.
Section 2: Duties
of the Vice-President
In the absence of the President, the Vice-President will
preside at the meeting. The
Vice-President will assist the President in all duties pertaining to the office
of the president. The Vice-President shall plan, coordinate and present
activities to, and for, the Club members. The Vice-President may establish and
oversee an Activities Committee.
Activities shall not be limited to those initiated by the
Vice-President. At the first meeting of
each month the Vice-President will provide a list of AVCC activities to satisfy
insurance requirements.
Section
3: Duties
of the Club Administrator
The Club Administrator
shall keep all notes pertaining to Club functions and meetings. The Club
Administrator will chair the annual by-law committee and oversee the election
of officers.
Section 4: Duties
of the Treasurer
The Treasurer shall have custody of all monies, debts, and obligations belonging to the club. The Treasurer shall receive all monies of the club and deposit same in the club account(s). The Treasurer shall make all payments of the club debts upon approval of either the President or Vice-President. There shall be two (2) signatures required on all checks drawn upon the club account(s). The Treasurer shall collect all dues, keep an up to date roll of all members, and report the financial status of the club once each month. No obligation, debt or other liability shall be incurred by the Treasurer without specific approval of the general membership.
Section
5: Duties of the Club Representative
The Club
Representative to the Affiliate Organization (currently NCCC Governor) will
represent the Antelope Valley Corvette Club at regional meetings and promote
the affiliate organizations activities.
Section
6: Duties
of the Editor
The Editor shall coordinate and assemble a newsletter, and oversee the publication and distribution of the newsletter.
Section
7: Duties
of the Technical Editor
The Technical Editor shall prepare an article for publication in the newsletter.
Section
8: Duties
of the Historian
The
Historian shall keep a record of all events of the Club of a historical
value. The Historian shall also have
responsibility of maintaining any and all of the trophies, or other Club
property, in a manner suitable for display.
Section 9: Duties
of the Sergeant at Arms
The Sergeant at Arms will maintain order at the club function(s).
Section
10: Duties
of the Membership Chairperson
The Membership
Chairperson will promote membership in the Antelope Valley Corvette Club.
Section
11: Duties
of the Sunshine Chairperson
The
Sunshine Chairperson shall acknowledge members' birthdays, anniversaries and
other significant events pertaining to the members.
Section
12: Parade
and Homecoming Chairperson
The Parade and Homecoming Chairperson shall coordinate participation in Parades and Homecomings.
Section
13: Attendance of Officers
No
Officer of the Club shall miss more than three (3) consecutive meetings without
notifying another Officer of the Club or the membership. Any Officer that misses three (3)
consecutive meetings without notification shall be considered to have resigned
the office and a new Officer shall be elected as soon as possible.
Section 14: Reimbursement
of Expenses
Members holding the above positions shall be entitled to reimbursement for reasonable expenses related to the office or position.
Expenses must be approved by the general membership, in advance, or at a subsequent regular meeting.
Section 1: Personal
Liability
All persons or corporations extending credit to, contracting with or having any claims against the Club, or the Officers, shall look only to the funds of the Club for payment of any such contract or claim, or the payment of any debt, damage judgment or decree or any other money that may otherwise become due and payable to them from the Club or its Officers. Neither the members of the Club, nor the Officers, present nor future, shall be personally liable for any such contract, claims, debt, damage, judgment, or decree.
